Timeless Luxury Group AG (the “Company”) was launched as a business that plans to provide luxurious vacation properties, known as retreat hideaways, in picturesque locations around the world. The Company’s vision is to create these vacation hideaways that can serve as an escape from clients’ everyday life by “retreating” to a location far away. It is the Company’s goal to create unique chalets and villas in coveted destinations combining quality, luxury, and functionality – thereby providing clients a retreat hideaway.

The Company’s founder and CEO Michael Gössl formed, and is the majority owner and CEO of, various predecessor entities in 2013 (the “Concept Entities”) that evaluated the viability of the Company’s concept of creating luxury vacation escapes. As part of this process, these separate entities acquired and developed two Hideaway Concept Properties, operates a Yacht and acquired property for a planned resort.

The Company plans to operate four different business units:

  • TIMELESS HIDEAWAYS – develops and operates retreat hideaways;
  • TIMELESS RESORTS – plans to develop and operate unique high-quality resorts;
  • TIMELESS YACHTS – plans to offer luxury Yachts for charter; and
  • TIMELESS SELECTION – plans to develop a licensing division that hopes to capitalize on the brand in other product areas.

Timeless Luxury Group AG (the “Company”) was launched as a business that plans to provide luxurious vacation properties, known as retreat hideaways, in picturesque locations around the world. TIMELESSHIDEAWAYS

The Timeless Hideaways division, the core of the business, comprises the planned development and operation of rental luxury chalets and villas in vacation destinations throughout Europe and the world. The Company´s business plan is based on the success of two existing “Concept Properties,“ the luxury chalet “Timeless Hideaway Wilder Kaiser“ (since 2015) and the villa “Timeless Hideaway Zell am See“ (since 2017), which are owned and managed by the Concept Entities. If the Company raises a minimum of USD 1 million in the DSO, it expects the management, operation and any revenue generated by the Concept Properties to be transferred to Company. Management believes that the demand for high-quality holiday homes has risen significantly in recent years and travel experts and industry associations expect this trend to continue. At the same time, the market is highly fragmented and management believes that this offers unique growth opportunities for Timeless.

In addition to Timeless Hideaways, Management intends to apply their Hideaway concepts to Resort properties via their Timeless Resorts division.

One of the Concept Entities has a contract to purchase a 38,000 sqm plot and a non-binding term sheet with one of the largest hotel chains in the world to operate the planned resort. If the Company raises a minimum of USD 1 million in the DSO, it expects that the management and development rights of the property will be transferred to the Company.

TIMELESSRESORTS

In addition to Timeless Hideaways, Management intends to apply their Hideaway concepts to Resort properties via their Timeless Resorts division.

TIMELESS YACHTS &TIMELESS SELECTION

Management also plans to extend the Timeless brand to other suitable sectors beyond real estate. As part of this process, if the Company raises a minimum of USD 1 million, it expects that its CEO will transfer the operation and management of Timeless Yachts and Timeless Selection, which are currently operated (as separate division) by a separate entity that is majority owned by our CEO, to the Company. Timeless Selection provides high-quality spirits, wines and cigars under one licensing agreement with one supplier for guests of the Concept Properties and for online sales.

Timeless Yachts operates a yacht, called the Ocean Club, that was first presented at the international boat show in Düsseldorf in 2017 and is currently chartered out in Mallorca, Spain. After the anticipated transfer, if Management is successful in developing the Timeless Selection portfolio, they plan to expand their offering to wholesalers and retailers in the future. Profits, if any, from the Hideaways and/or Resort will be used to fund these divisions.

TOKENECONOMICS

TMLS offers investors the opportunity to participate in the planned development of the Company, by providing a dividend tied to future profits1. TMLS holders are entitled to receive 40% of the earnings before taxes, depreciation and amortization (“EBTDA“) per annum from the business segments Timeless Hideaways and Timeless Resorts and 10% of revenues of the Timeless Yachts and Timeless Selection divisions, as well as the planned global franchise concept2, if and when such profits and revenues are earned. In addition, as a bonus, holders of at least 1,000 TMLS will receive a discount of 20% on bookings of Timeless Hideaways or Timeless Resorts.

Distributions/Bonus:

  • 40% p.a. (per annum) of earnings before taxes, depreciation and amortization (EBTDA) from the business areas Timeless Hideaways and Timeless Resorts
  • 10% p.a. revenue share from the business areas Timeless Selection and Timeless Yachts
  • 10% p.a. revenue share from the global franchise concept (sale of franchise licenses + revenue share from franchise locations)
  • Payments to DSO investors priority over distributions to shareholders of AG
  • 20% discount on bookings of Timeless Hideaways or Timeless Resorts (from 1.000 Token wallet stock)
